SUMMITDRIVE AI – TERMS OF USE

1. Acceptance of Terms
By accessing or using SummitDrive AI ("Service"), you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.
2. Nature of Service
SummitDrive AI provides a personalized, AI-powered decision-support system delivering structured insights, recommendations, and analytical assistance ("Outputs").
The Service:
- Provides decision-support only
- Does not execute decisions
- Does not act as an agent, advisor, or fiduciary
3. No Professional Advice
The Service does not provide legal, financial, medical, or other licensed professional advice.
Outputs are:
- Informational and assistive
- Non-binding
- Potentially incomplete, inaccurate, or outdated
You must independently verify all Outputs before relying on them.
4. Assumption of Risk & User Responsibility
You acknowledge that:
- You may rely on Outputs at your own discretion
- All decisions are made solely by you
You assume all risks associated with use of the Service. SummitDrive AI is not responsible for any outcomes resulting from reliance on Outputs.
5. AI System Limitations
The Service uses artificial intelligence which:
- May produce errors, hallucinations, or inconsistencies
- Lacks human judgment and contextual awareness
- Cannot account for all real-world variables
6. Acceptable Use
You agree not to:
- Use the Service for illegal, harmful, or fraudulent purposes
- Use Outputs for regulated activities without proper professional oversight
- Reverse engineer or attempt to replicate the system
- Use Outputs to train competing AI systems
7. Accounts, Payments, and Termination
You agree to provide accurate information.
Fees include:
- One-time setup fee
- Recurring subscription
All payments are non-refundable unless required by law.
We may suspend or terminate access at our discretion for violations or risk exposure.
8. Intellectual Property
Users retain ownership of Outputs generated for them.
SummitDrive retains ownership of:
- System architecture
- Prompts and methodologies
- Configurations and branding
Outputs may not be used to develop competing systems.
9. Data Usage
We may use anonymized and aggregated data to improve the Service.
10. Third-Party Services
The Service relies on third-party providers (including OpenAI). We are not responsible for:
- Third-party performance
- Data handling practices of third parties
- Service interruptions caused by dependencies
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
12. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits, revenue, or business opportunities
Total liability is limited to the greater of:
- Fees paid in the prior 12 months, or
- $1,000
13. Indemnification
You agree to indemnify and hold harmless SummitDrive AI from any claims, damages, or liabilities arising from:
- Your use of the Service
- Your decisions based on Outputs
- Your violation of these Terms
14. Arbitration & Dispute Resolution
All disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Venue: New Hampshire (or Manchester, New Hampshire)
- Format: The parties agree that arbitration may be conducted remotely or virtually where appropriate
- No class actions permitted
- Each party bears its own legal fees unless otherwise required by law
15. Governing Law
These Terms are governed by the laws of the State of New Hampshire.

We may modify the Service or these Terms at any time.
